Initially due by March 28, 2026, the demand was brought forward to October 8, 2024, placing the company in an unsustainable financial position. This financial pressure led to the termination of almost all employees, retaining only a few to manage the winding-down process.

This sudden closure surprised many, especially since the company had announced a new partnership with MAG Aerospace just days earlier, on October 1, 2024. However, a filing with the U.S. Securities and Exchange Commission (SEC) soon revealed the extent of Zapata's financial troubles. The board approved a plan to wind down operations, citing insurmountable financial obligations as the primary cause.

The company's debt totaled $4.8 million, including $2.5 million owed to Sandia Investment Management and $2.3 million to other creditors. Unfortunately, Zapata's assets were insufficient to cover these debts, leaving shareholders unlikely to receive any returns.

In March 2024, the company entered into a Forward Purchase Agreement with Sandia Investment Management LP, through which Sandia acquired 1.25 million shares of Zapata's stock. The agreement included a clause allowing Sandia to accelerate the settlement date if the stock’s volume-weighted average price (VWAP) dropped below $1.00 for a specified period—a condition that was met. As a result, Sandia exercised its right and demanded the $2.5 million payment.

In addition to Sandia's demands, Zapata owed another $2.3 million through Senior Secured Promissory Notes, with creditors holding a security interest in nearly all company assets. Zapata acknowledged that the fair market value of its assets would not satisfy these debts, meaning that after settling creditor obligations, shareholders would likely receive nothing.

Amid the escalating financial issues, Zapata significantly reduced its workforce. Nearly all employees were laid off by October 9, 2024, except for a select few, including Chief Financial Officer Sumit Kapur, who stepped into the role of Chief Executive Officer following the resignation of founder and former CEO Christopher Savoie on October 7, 2024. Savoie's departure was reportedly not due to any operational disagreements.

Founded in 2017 as a quantum computing firm, Zapata had shifted its focus to generative AI solutions over time. In 2023, the company merged with Andretti Acquisition Corp., a special purpose acquisition company (SPAC), and was listed on Nasdaq in April 2024 under the ticker symbols “ZPTA” and “ZPTAW”.

Zapata's debut on the public market coincided with market volatility and skepticism surrounding SPACs. On its Nasdaq launch, the stock plummeted 60% and struggled to recover afterward.
